Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by Black Box Intel LLC ("Company," "we," "us") at www.blackbox-intel.com, you ("Client" or "User") agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Service Description

We provide AI-powered conversational agents for Voice and Chat interactions, including CRM integrations. The Service is hosted and operated from the United States.

3. Fees, Usage & Overages

Your subscription is subject to the limits of your selected Plan (Starter, Growth, or Enterprise).

• "AI Minute" Definition: Usage is calculated in 60-second increments, rounded up to the nearest minute (e.g., 65 seconds = 2 Minutes).
• Monthly Allowance: Unused minutes expire at the end of each billing cycle; they do not roll over.
• Overage Fees: You agree to pay for usage exceeding your plan's allowance at the rate specified on our Pricing Page.
• Auto-Charge Authorization: You authorize us to charge your payment method for Overage Fees automatically when they exceed a threshold of $50.00 USD, or at the end of the billing cycle.

4. 14-Day Money-Back Guarantee

We offer a 14-day refund window for first-time subscribers.

• Refund Eligibility: You may request a refund of your base subscription fee within 14 days of purchase.
• Telephony Cost Deduction: Overage fees and direct telephony costs are non-refundable. If you consumed significant Voice minutes during the 14-day period, we reserve the right to deduct these hard costs from your refund.

5. User Conduct & Compliance

You agree to use the Service in compliance with all applicable laws, including the Telephone Consumer Protection Act (TCPA) and the CAN-SPAM Act.

• Prohibited: You may not use the Service for unsolicited "robocalls," cold-calling without consent, or harassment.
• Consent Warranty: You warrant that you have obtained all necessary consents (opt-ins) from the individuals you contact using our AI Agents.

6. Intellectual Property

Client Data: You own your customer data and CRM entries.

Company IP: We own the AI Agents, the software, and the methodologies used to generate them.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. We do not guarantee that the AI Agents will be error-free or that CRM integrations will be uninterrupted. You accept that AI models may occasionally generate incorrect information ("Hallucinations").

8. Limitation of Liability

To the maximum extent permitted by applicable law, Black Box Intel LLC shall not be liable for any indirect, punitive, or consequential damages. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Governing Law

These Terms shall be governed by the laws of the State of Wyoming, United States. Any legal action shall be brought exclusively in the state or federal courts located in Wyoming.
